Agreement for Legal Services 5/26 Page 1 LIVERMORE-PLEASANTON FIRE DEPARTMENT JOINT POWERS AUTHORITY AGREEMENT FOR PROFESSIONAL SERVICES This Agreement is entered into on this 15th day of June 2026, by and between the Livermore- Pleasanton Fire Department Joint Powers Authority, a Joint Powers Authority (“LPFD”), and AP Triton, LLC , a Limited Liability Company (“Consultant”). Recitals This Agreement is based on the following facts: A. Consultant warrants it has the skills, qualifications, and experience necessary to perform Services described in this Agreement. Consultant acknowledges LPFD has relied upon these warranties to retain Consultant. B. LPFD wishes to retain Consultant for the Services as outlined in Section 1 of the Agreement (the “Services”). Agreement NOW, THEREFORE, the parties agree as follows: 1. SERVICES. LPFD retains Consultant to perform services, which shall include, but may not be limited to preparation of a Community Risk Reduction, as more particularly set forth in Exhibit “A.” 2. COMPENSATION. The total compensation payable to the Consultant by LPFD for the Services SHALL NOT EXCEED the sum of $47,495 (“not to exceed amount”). LPFD shall compensate Consultant for the Services rendered at the hourly rates, task amounts or travel expenses set forth in Exhibit “A” up to the not-to-exceed amount. Except as provided in the body of this Agreement, the hourly rates, task amounts or travel expenses are intended to be Consultant’s only compensation for the Services and is inclusive of all costs of labor, licensing, permitting, overhead and administrative costs, and any-and-all other costs, expenses, and charges incurred by Consultant, its agents, and employees to provide the services. 3. TERM. This contract shall commence on the date written above and shall expire on June 30, 2027. LPFD shall pay Consultant no later than 30 days after LPFD receives a written invoice from Consultant and verifies the Services were performed for the payment requested. Consultant agrees to provide its Federal Tax Identification Number to facilitate tax reporting. 4. INDEPENDENT CONTRACTOR. The relationship of the parties to this Agreement shall be that of independent contractors. No employment relationship is created by this Agreement. The Consultant, its agents, representatives, employees, consultants, contractors, subcontractors, shall not be considered an officer, agent, servant or employee of LPFD.
