Agreement for Legal Services 1/19 Page 4 <br /> <br /> <br />f. Defense Costs. Coverage shall be provided on a “pay on behalf of” basis, with defense <br />costs payable in addition to policy limits. There shall be no cross- <br />liability exclusions. These provisions do not apply to Professional Liability. <br /> <br />g. Adequacy of Coverage. LPFD reserves the right to modify these insurance <br />requirements/coverages based on the nature of the risk, prior experience, insurer, or <br />other special circumstances. <br /> <br />h. Subcontractors. Consultant shall include all subcontractors as insured under its policies <br />or shall furnish separate certificates and endorsements for each subcontractor. All <br />coverages for subcontractors shall be subject to all of the requirements stated in this <br />Agreement, including but not limited naming additional insureds. <br /> <br />11. BUSINESS LICENSE. Consultant shall procure and maintain a business license with the <br />City of Pleasanton for the term of this Agreement. <br /> <br />12. TERMINATION. LPFD may terminate this Agreement with or without cause upon giving <br />written notice. Consultant may terminate this Agreement with or without cause upon giving fifteen <br />days’ written notice. <br /> <br />13. RESOLUTION OF FEE DISPUTES. At LPFD’s request, any fee dispute shall be resolved <br />by binding arbitration. The arbitrator shall be chosen by agreement, or in the absence of <br />agreement, from the arbitration panel of the Alameda County Superior Court. <br /> <br />14. NOTICE. MODIFICATIONS. This Agreement may be modified by written agreement signed by both <br />parties. <br /> <br />16. ENTIRE AGREEMENT.
