DocuSign Envelope ID: AEA213B7-194C-480A-8803-F986EF0539FC Contract #2024087 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into this 4th day of October 2023, by the City of Pleasanton ("City") and NRC Environmental Services Inc., dba US Ecology ("Contractor"). Whereas, on July 1, 2023, the City and Contractor entered into a Maintenance and Trade Services Agreement for providing Hazardous Waste Disposal, Decontamination and Hualing, and Consultation Services, per R.F.P. OSD 23.201 ("Agreement"); and Whereas, the parties desire to amend the Agreement by adding additional costs as associated with disposal of wastes that was not identified within Exhibit B, "Proposal Form". Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: I.Section 3 of the Agreement ("Compensation") the total compensation of $300,000 shall remain the same for the remaining term of the Agreement. Incorporated in this Amendment is added language Exhibit B, to the "Proposal Form". a.In the event of need to dispose of wastes not listed within the unit disposal rate sheet (price matrix), such disposals will be invoiced based on Cost-Plus 20% billing basis. Pricing is as follows: Cost is determined by the actual cost for disposal from the disposal facility/landfill (third party charges), plus 20%. The contractor shall provide a copy of the receipt along with the invoice and will Qrovide the additional mark-up on the invoice. 2.This First Amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code § 1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 3.All other terms and conditions of the Agreement shall remain in full force and effect.
