AMENDMENT to PROFESSIONAL SERVICES AGREEMENT This Amendment to Professional Services Agreement (“Amendment”), dated as of March 6, 2023, between the City of Pleasanton (“City”) and PFM Financial Advisors LLC (“PFM”), amends the Professional Services Agreement, entered into on March 6, 2023 (“Agreement”). WHEREAS, City and PFM entered into the Agreement for the City to obtain financial advisory services from PFM; and WHEREAS, the parties now desire to amend the Agreement as set forth herein. NOW, THEREFORE, in consideration of the mutual premises made herein and of the mutual benefits to be derived therefrom, the parties hereby agree as follows: 1. Extend Term. The term of the Agreement shall be extended until March 5, 2028. Update Compensation for Services. Exhibit B to the Agreement (Compensation for Services) shall be amended to Exhibit B attached to this Amendment. 2. Each party to this Amendment represents and warrants to the other that the execution and delivery of this Amendment and the performance of such party’s obligations hereunder have been duly authorized. Further, each party represents and warrants that each person executing this Amendment has the legal authority to execute and deliver this Amendment for or on behalf of the parties to this Amendment. 3. Except as amended herein, the terms of the Agreement shall remain unchanged and in full force and effect and, together with this Amendment, represents the entire agreement between the parties hereto.
