~ AMENDMENT TO AGREEMENT FOR BUSINESS LICENSE SERVICES 1. Parties and Date This Amendment ("Amendment") to the Agreement For Business License Services is entered into on this day of January 2005 (the "Effective Date") by and between the City of Pleasanton (hereinafter referred to as the "City") and HdL Software,LLC, a California corporation(hereinafter referred to as "HdL"). 2. Recitals A. HdL and City entered into that certain Agreement for Business License System dated December 1st, 1996, whereby HdL agreed to render and install HdL's Business License System. B. HdL and City entered into a 1 st Amendment to the Agreement for Business License System dated April 30th, 2004, whereby HdL agreed to upgrade and install HdL's Business License System Version 3.0 on to a SQL database environment. C. The HdL Companies also currently provides Sales Tax and Property Tax services to the City of Pleasanton. D. HdL and City now desire to amend the Agreement for an additional scope of services to add an additional user license to the Business License System and provide for the compensation for the additional user. 3. Terms Additional Scope of Services—Additional User License. HdL shall add an additional user license to the City's existing business license system for a total of 6 users. 4. Compensation—Additional User License The software license fee for this service is $800. This amount will be invoiced in the City's current annual maintenance period beginning February 1, 2005 to January 31", 2006.
