Parties and Date <br /> This Amendment ("Amendment") to the Agreement For Business License Services is <br /> entered into on this ay of January 2005 (the "Effective Date") by and between <br /> the City of Pleasanton (hereinafter referred to as the "City") and HdL Software, LLC, a <br /> California corporation(hereinafter referred to as "HdL"). <br /> 2. Recitals <br /> A. HdL and City entered into that certain Agreement for Business License System dated <br /> December 1", 1996, whereby HdL agreed to render and install HdL's Business <br /> License System. <br /> B. HdL and City entered into a 1st Amendment to the Agreement for Business License <br /> System dated April 30`h, 2004, whereby HdL agreed to upgrade and install HdL's <br /> Business License System Version 3.0 on to a SQL database environment. <br /> C. The HdL Companies also currently provides Sales Tax and Property Tax services to <br /> the City of Pleasanton. <br /> D. HdL and City now desire to amend the Agreement for an additional scope of services <br /> to add an additional user license to the Business License System and provide for the <br /> compensation for the additional user. <br /> 3. Terms <br /> Additional Scope of Services—Additional User License. <br /> HdL shall add an additional user license to the City's existing business license system for <br /> a total of 6 users. <br /> 4. Compensation—Additional User License <br /> The software license fee for this service is $800. This amount will be invoiced in the <br /> City's current annual maintenance period beginning February 1, 2005 to January 31", <br /> 2006. <br />
