1 <br />Confidential <br />AMI OPX AGREEMENT FOR GOODS / SERVICES <br />FOR WATER METER REPLACEMENT & AMI SYSTEM PROJECT <br />RFP PWD 25.604 <br />THIS AGREEMENT is made and entered into this 7th day July 2026, by and between <br />Core & Main LP ("Prime Contractor"), whose address is 3486 Investment Blvd. Unit A, <br />Hayward CA 94545, and telephone number is (510) 244-5858 and the City of Pleasanton, a <br />municipal corporation ("City"). <br />In consideration of the mutual promises set forth in this Agreement, the parties agree as <br />follows: <br />1.Work to be Performed. The work will generally consist of overseeing a turnkey delivery of an <br />advanced water meters solution which includes the supply and installation of non-mechanical <br />water meters and radio transmitters as well as an advanced metering infrastructure software and <br />related training services. <br />The CONTRACTOR agrees to provide the personnel, software, materials, equipment and labor <br />(hereinafter "work") necessary to perform the services described in PWD’s Request for Proposals <br />#PWD-25.604 -Water Meter Replacement and AMI System Installation Project – CIP #26137 <br />dated November 19, 2025 and issued by the City of Pleasanton, CA, and also in accordance with <br />CONTRACTOR's Proposal dated January 12, 2026. A copy of said RFP (Exhibit G) and the <br />CONTRACTOR’s Proposal and Supplemental Documents is attached hereto as Exhibit D <br />incorporated herein by reference. <br />The restatement in this Agreement of any of the terms of said Specifications or Proposal shall not <br />be deemed to waive any terms not so restated. In the event of any inconsistency or conflict in the <br />contents of the following documents, such documents shall take precedence and govern in the <br />following order: <br />a)Agreement For Goods / Services <br />b)Exhibit A: Scope of Work OPX (as negotiated) <br />c)Exhibit B: Price Form - OPX (as negotiated) <br />d)Exhibit C: Kamstrup North America Product Warranty Statement <br />e)Exhibit D: C&M Response to Pleasanton dated January 12, 2026 <br />f)Exhibit E: Request for Proposals #PWD-25.604 -Water Meter Replacement and AMI System <br />Installation Project – CIP #26137 <br />g)Exhibit F: READy License and Hosting Agreement US <br />2.Term. This Agreement shall commence on the date written above and will expire 20 years from <br />that same date. <br />3.Core & Main’s Responsibilities. Core & Main shall provide all Work as described in this <br />Agreement. Without limiting the generality of the foregoing, Core & Main shall maintain <br />supervision of all its subcontractors.
