Resolution No. ____

Section 1. Confirmation of Regular Meetings. In accordance with Section 7
of Resolution No. JPA-1, the regular meetings of the Authority shall continue to be held
in the City Council Chambers, 200 Old Bernal Avenue, Pleasanton CA 94566, or such
other place as this Board may designate from time to time, at such time as may be
designated by appropriate notice. Such regular meetings shall occur on the same dates
and at the same times as the regular meetings of the City Council of the City. In the
event that the Chair determines that there will be no business to transact at such
meeting, such meeting of the Authority shall be automatically canceled. The meeting at
which this Resolution is adopted is a regular meeting.

Section 2. CEQA Finding. The Board finds that the matter is exempt pursuant
to the California Environmental Quality Act (CEQA) Guidelines §15060(c)(3), as this
matter is not an activity subject to CEQA because it does not meet the CEQA definition
of a project. Guidelines §15378(b)(4) states that government fiscal activities which do
not involve any commitment to any specific project which may result in a potentially
significant physical impact on the environment do not meet that definition. Therefore,
the issuance of the Pleasanton Joint Powers Financing Authority 2026 Water Revenue
Bonds is not subject to CEQA.

Section 3. Issuance of Bonds. The Board hereby authorizes the issuance of
the Bonds under the Act for the purpose of providing funds to finance the acquisition,
construction and installation of the Water Projects. The aggregate principal amount of
the Bonds shall not exceed $16,500,000.

Section 4. Approval of Related Financing Agreements. The Board hereby
approves each of the following agreements relating to the issuance and sale of the
Bonds, in substantially the respective forms on file with the Secretary, together with any
changes therein or additions thereto deemed advisable by the Executive Director or the
Treasurer (each, an “Authorized Officer”), or a designee of either of them, and the
execution thereof by an Authorized Officer shall be conclusive evidence of the approval
of any such changes or additions. An Authorized Officer is hereby authorized and
directed for and in the name and on behalf of the Authority to execute, and the
Secretary is hereby authorized and directed to attest to, if necessary, the final form of
each of the following agreements:

• Indenture of Trust, between the Authority and U.S. Bank Trust
Company, National Association, as trustee, setting forth the terms and
provisions relating to the Bonds.

• Installment Sale Agreement, between the Authority and the City, under
which the Authority agrees to provide financing for the Water Projects
and to sell the completed Water Projects to the City in consideration of
the payment by the City of semiannual installment payments which are
sufficient to provide revenues with which to pay principal of, and
interest on, the Bonds when due.
