<br />-7- <br />“Gross Revenues” means, for each Fiscal Year, all gross income and revenue received <br />or receivable by the City from the ownership or operation of the Water System, determined in <br />accordance with generally accepted accounting principles, including all rates, fees, and charges <br />(including connection fees and charges) as received by the City for the services of the Water <br />System, and all other income and revenue howsoever derived by the City from the ownership or <br />operation of the Water System or arising from the Water System, including all income from the <br />deposit or investment of any money in the Water Fund or any rate stabilization fund of the City <br />or held on the City’s behalf, and any refundable deposits made to establish credit, and <br />advances or contributions in aid of construction. <br /> <br />“Indenture” means this Indenture of Trust, as originally executed or as it may from time <br />to time be supplemented, modified or amended by any Supplemental Indenture under the <br />provisions hereof. <br /> <br />“Independent Certified Public Accountant” means any certified public accountant or firm <br />of such accountants appointed and paid by the City, and who, or each of whom- <br /> <br />(a) is in fact independent and not under domination of the City; <br /> <br />(b) does not have any substantial identity of interest, direct or indirect, with <br />the City; and <br /> <br />(c) is not and no member of which is connected with the City as an officer or <br />employee of the City, but who may be regularly retained to make annual or other audits <br />of the books of or reports to the City. <br /> <br />“Independent Consultant” means any financial or engineering consultant (including <br />without limitation, any Independent Certified Public Accountant) with an established reputation <br />in the field of municipal finance or firm of such consultants appointed and paid by the City, and <br />who, or each of whom- <br /> <br />(a) is in fact independent and not under domination of the City; <br /> <br />(b) does not have any substantial identity of interest, direct or indirect, with <br />the City; and <br /> <br />(c) is not and no member of which is connected with the City as an officer or <br />employee of the City, but who may be regularly retained to make annual or other audits <br />of the books of or reports to the City. <br /> <br />“Information Services” means in accordance with then-current guidelines of the <br />Securities and Exchange Commission, the Electronic Municipal Market Access System (referred <br />to as “EMMA”), a facility of the Municipal Securities Rulemaking Board (at <br />http://emma.msrb.org), or such service or services as the Authority may designate in a <br />certificate delivered to the Trustee. <br /> <br />“Installment Payment Date” means, with respect to any Interest Payment Date, the 3rd <br />Business Day immediately preceding such Interest Payment Date. <br /> <br />“Installment Payments” means all payments required to be paid by the City on any date <br />under Section 4.4 of the Installment Sale Agreement, including any amounts payable upon <br />Page 23 of 205
