<br />C-1 <br />APPENDIX C <br /> <br />FORM OF COST OF ISSUANCE REQUISITION <br /> <br />$__________ <br />Pleasanton Joint Powers Financing Authority <br />2026 Water Revenue Bonds <br /> <br />REQUISITION NO. __ OF THE AUTHORITY FOR <br />DISBURSEMENT FROM THE COSTS OF ISSUANCE FUND <br /> <br /> <br />The undersigned hereby states and certifies that: <br /> <br />(i) I am the duly appointed, qualified and acting _________ of the Pleasanton Joint <br />Powers Financing Authority, a joint exercise of powers authority, duly organized and existing <br />under and by virtue of the laws of the State of California (the “Authority”), and as such, I am <br />familiar with the facts herein certified and am authorized to certify the same; <br /> <br />(ii) I am an “Authorized Official” of the Authority, as such term is defined in that <br />certain Indenture of Trust, dated as of October 1, 2026 (the “Indenture”), by and between the <br />Authority and U.S. Bank Trust Company, National Association, as trustee (the “Trustee”); <br /> <br />(iii) pursuant to Section 3.03 of the Indenture, the Trustee is hereby requested to <br />disburse this date, from the Costs of Issuance Fund established under the Indenture, upon <br />receipt of an invoice from each of the payees designated on Schedule A attached hereto and by <br />this reference incorporated herein, the amount set forth in such invoice but no more than the <br />amount set forth opposite each such payee, in payment of Costs of Issuance described on said <br />Schedule A, and all such payments shall be made by check or wire transfer in accordance with <br />payment instructions contained in Schedule A or the invoice submitted in accordance therewith <br />and the Trustee shall have no duty or obligation to authenticate such payment instructions or <br />the authorization thereof; <br /> <br />(iv) each obligation identified on the attached Schedule A has been properly <br />incurred, is a proper charge against the Costs of Issuance Fund and has not been the basis of <br />any previous disbursement; and <br /> <br />(v) attached hereto is an invoice or other evidence supporting the amounts due as <br />identified on Schedule A. <br /> <br />Capitalized terms used herein and not otherwise defined have the meanings given them <br />in the Indenture. <br /> <br />Dated: _______, 2026 PLEASANTON JOINT POWERS FINANCING <br />AUTHORITY <br /> <br />By: <br />________ <br />______________________ <br />Page 71 of 205
