6 a) This Agreement constitutes the entire understanding between the parties. b) If any provision of this Agreement is held by a court to be invalid or unenforceable, the remaining provisions shall remain enforceable to the fullest extent permitted by law. c) This Agreement shall be binding on and inure to the benefit of the successors and permitted assignees of the respective parties. d) Masters shall not assign or transfer this Agreement without City’s written consent. e) If either the City or Masters waive a breach of this Agreement, such waiver shall not constitute a waiver of other or succeeding breaches of this Agreement. f) Any notice or demand required to be given herein shall be made by certified or registered mail, return receipt requested, or reliable overnight mail to the address of the respective parties set forth below: City: Masters: City of Pleasanton Attn: Director of Library and Recreation P.O. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes.
