AGREEMENT FOR ART WORK <br /> (Artist Dee Dee Morrison) <br /> THIS AGREEMENT FOR ART WORK("Agreement") is made and entered into as of the <br /> 1 st day of March, 2019 (the"Effective Date"),by and among the City of Pleasanton, a municipal <br /> corporation located in the state of California("City"),and Dee Dee Morrison, an individual <br /> conducting business at Seeds Pods, LLC, 10 Hidden Hills Drive, Greenville, SC 29605 ("Artist"). <br /> RECITALS <br /> WHEREAS,the City desires to commission and acquire a 9 foot stainless steel sculpture <br /> (the Work, also known as"Pollinators")which has been conceived and designed by the Artist to <br /> be installed at the Oak Woodland area of the Bernal Community Park located at 7001 Pleasanton <br /> Avenue, Pleasanton, California(the"Site"); <br /> WHEREAS,the Artist agrees to provide a 9 foot Stainless Steel sculpture for the Work; <br /> and <br /> WHEREAS,the Artist will collaborate with the City to determine the location and manner <br /> in which the work shall be securely installed and fabricate the Work accordingly,then deliver the <br /> Work to the City ready for installation and assist with the installation thereof, and <br /> WHEREAS,Artist desires to transfer ownership of the Work as well as the Intellectual <br /> Property interests in the Work to City and City desires to accept ownership of the Work,upon <br /> installation and final acceptance thereof by the City and full payment therefore by the City. <br /> NOW,THEREFORE, in exchange for mutual consideration,the adequacy of which has <br /> been agreed upon by the parties,the parties hereby agree as follows: <br /> 1. COMMISSION FOR WORK BY ARTIST. City hereby commissions Artist, and <br /> Artist hereby accepts said commission to design the Work as generally described in the Exhibit A, <br /> attached hereto and incorporated herein. Artist agrees to coordinate activities pursuant to this <br /> Agreement and consult with City during the design and fabrication process. <br /> A. Fabrication. Artist agrees to fabricate the Work, as generally described in <br /> Exhibit A. and to engage in periodic consultation with City as to the progress of said <br /> fabrication. Fabrication shall commence immediately upon execution of this Agreement. <br /> B. Delivery of the Work. <br /> 1) Artist shall deliver the Work to the Operations Services Center in <br /> Pleasanton, California, by late Spring/early Summer 2019. <br /> Pagel of 7 <br />
