(B) Prior to entry onto the Conservation Easement by the SLVALT advance written notice shall be provided to the City at least ten(10)business days prior to the date of proposed monitoring, including the date(s) of the moct o have g, and the names of the persons who will participate. The City may staff accompany SLVALT members during the monitoring. (C) Within sixty (60) days following the on-site monitoring by the SLVALT members,the SLVALT shall send the Citya and any encroachments. The n report setting forth observations related to the Conservation Easement parties acknowledge that the SLVALT's report is for action i information needed to enforce the City reserves the right to determine whether further the terms of the Conservation Easement. 4. Notice. Indemnification. The SLVALT shall defend,indemnify, and hold harmless,the City and its officers and employees from and against all claims,losses,damage, injury, and liability for damages arising solely from active negligent or misconduct of the SLVALT in the performance of this Agreement. 6. Term. The term of this Agreement shall be ten(10)years, and shall automatically renew for two (2) successive ten(10)year terms unless terminated by either party upon thirty (30)days written notice. Either party may terminate this Agreement at any time, and for any reason. 7. No Assignment. The SLVALT shall not assign or transfer this Agreement or any interest or obligation therein.
