EXHIBIT C
Consent to Representation

Consultant law firm has advised City that Consultant is General Counsel for the Alameda County
Waste Management Authority (“ACWMA”) (of which City is a member agency), and in that
capacity represents ACWMA on a wide variety of matters, including matters related to
ACWMA’s regulatory authorities (“ACWMA Matters”).

The Pleasanton Transfer Station located at 3110 Busch Rd, Pleasanton, CA 94566 is identified in
the ACWMA’s Countywide Integrated Waste Management Plan (“CoIWMP”). As the City
considers potential redevelopment of the transfer station, the City and/or the owner of the facility
may deem it prudent or necessary to seek a CoIWMP amendment and conformity determination
by ACWMA.

We are not aware of any actual adversity between the City and ACWMA at this time, but it is
conceivable that such adversity could develop in the future. Accordingly, before Consultant can
accept representation of the City, Consultant is seeking the City’s consent and waiver to
Consultant’s continued representation of ACWMA in the ACWMA Matters notwithstanding the
potential adversity described above.

Simultaneously, Consultant has advised ACWMA of the potential conflict with regard to the
transfer station, and requested consent and a waiver from ACWMA. The City’s consent and
waiver will only take effect if ACWMA grants consent and waiver to the firm for its
representation of the City with regard to the matter specified herein.

Notwithstanding the potential for adversity between ACWMA and the City with regard to the
transfer station, by signing this Agreement, the City consents to and waives any conflicts arising
from the firm’s concurrent representation of the City with regard to the transfer station and
ACWMA with regard to the ACWMA Matters, and agrees not to assert any conflict of interest or
otherwise seek to disqualify the firm from representing ACWMA in the ACWMA Matters,
notwithstanding any adversity that may develop in the future.

Docusign Envelope ID: C902A4EA-87AE-8B5E-8251-0216E402C2CF
