EXHIBIT A

Scope of Consultant’s Services

Consultant law firm is retained to provide the City the following legal services: support the
City’s negotiation with Pleasanton Garbage Service, Inc. related to potential redevelopment of
solid waste transfer station located at 3110 Busch Rd, Pleasanton, CA 94566. The scope of
services does not include litigation services; such services, if requested, would be subject to a
separate retainer agreement.

Client designates Daniel G. Sodergren, City Attorney, as the authorized representative to direct
Consultant and to be the primary person to communicate with Consultant regarding the subject
matter of this Agreement. This designation is intended to establish a clear line of authority and to
minimize potential uncertainty, but not to preclude communication between Consultant and other
representatives of City.

In order to maximize efficiency and responsiveness in representing City and preserve natural
resources, Consultant intends to use electronic communications tools and devices (such as email,
electronic transfer and storage of documents, cellular telephones, and “smart phones”) to a
significant extent during our representation. The use of such devices under current technology
may place City’s confidential information and privileges at risk. However, Consultant believes
the effectiveness and efficiency involved in use of these devices outweighs the risk of accidental
disclosure, malicious access, or corruption or loss. By executing this Agreement, City
acknowledges City’s consent to the use of these tools and devices without any encryption or
other special protections or backups.

Compensation

City shall pay Consultant for services rendered pursuant to this Agreement as described more
particularly below.

Total compensation for services and reimbursement for costs shall not exceed $88,960 ;
Consultant will not incur fees or expenses that exceed this amount. Notwithstanding the
foregoing, Consultant does not guarantee that the services can be completed within the cap and
nothing in this Agreement or the firm’s statements to City will be construed as a promise or
guarantee about the outcome of this matter.

Consultant’s hourly billing rates are as follows:
Partner $440
Associate III $405
Associate II $390
Associate I $370
Planner $370
Paralegal $280
Law Clerk $220
Of Counsel $440
Senior Counsel $420
Docusign Envelope ID: C902A4EA-87AE-8B5E-8251-0216E402C2CF
