USL PLEASANTON LAKES, LP C/O STEELWAVE (GOODWIN CFD)

REIMBURSEMENT AGREEMENT This Reimbursement Agreement for consultant services related to development applications by USL Pleasanton Lakes, L.P. (“Agreement”) is entered into on May 4, 2026, between the City of Pleasanton, a general law city (“City”) and USL Pleasanton Lakes, L.P. (“Developer”). RECITALS A. Developer owns an approximately 26.6-acre property in Alameda County adjacent to the City of Pleasanton and has submitted development applications to the City for annexation and construction of 189 residential homes with on- and off-site improvements (the “Project”). B. On May 4, 2026, City authorized work with Goodwin Consulting Group, Inc. (Consultant) for tax consulting services related to Community Facilities Districts. C. Developer agrees to reimburse City for the cost of such Consultant services (“Consultant Costs”). NOW, THEREFORE, in exchange for valuable consideration, the parties agree as follows: 1. Reimbursement of Third-Party Consulting Costs. A description of the proposed scope of work and estimate of costs is attached hereto (and incorporated herein as if set forth in full) as Exhibit A (the “Eligible Consulting Costs”). During the term of this Agreement, Developer agrees to reimburse City for the Eligible Consulting Costs. 2. Time and Manner of Reimbursement. Payment for Eligible Consulting Costs plus charges shall be made as follows: (a) Developer shall make an $25,000 payment (the “Deposit”) to the City when the City executes an agreement for Eligible Consulting Costs; (b) in the case of additional services being necessary and agreed-upon by Developer and the City, such additional costs and charges shall be paid within thirty (30) days of the Developer’s receipt of an invoice from the City. All invoices shall be provided by City pursuant to the notice requirements of Section 6, below. Once received, Developer shall review each invoice to confirm the costs set forth therein are Eligible Consulting Costs. The City hereby directs that any Eligible Consulting Costs and charges due to the City pursuant to this Agreement shall be payable to the City of Pleasanton and mailed to: Attention: Jennifer Miller City of Pleasanton Community and Economic Development Department 200 Old Bernal Avenue P.O.
