In lhe event City and the Subdivider enter a contract upon mutually agreeable lerms providing an appropriale special assessment act for financing and improvement of slreels and easemems, lhe Cily may consen! 1o lhe following: a. The inclusion of this tracl and other lands wilhin said contracts, and b. The release of improvement security as defined in Section 66499 of the Government Code, where the assessment conlracl has filed surety bonds for said improvements. 9. Defecls. Subdivider shall be liable for defecls in workmanship and materials on all oflhe above described improvements for a period of one (1) year after acceplance and, as securily for liabilily against such defecls, Subdivider shall file improvement or mainlenance security with 1he City Clerk, of a type approved by the City Attorney, in the amount of len (10) percent of the 1oral estimated cost set forth above. 10. Workers' Compensalion. Before commencing work under this contracl, Subdivider shall lake out and maintain during the course of this Agreement, such worker's compensation insurance as required by the laws of the Stale of California. If the Acling General Conlraclor is not lhe Subdivider, then the General Contractor will provide the City with said certificate of worker's compensalion insurance prior to starl of construction. On failing Io do so, the City may procure such insurance for the Subdivider and the Subdivider shall pay the cost. 11. Hold Harmless A~reement. Subdivider hereby agrees to and shall hold City, its eleclive and appoinlive Boards, Commiss OhS, officers, agents, and employees, harmless from any lJabilily for damage or claims for damage for personal injury, includ ng death, as well as from claims from property damage which may arise from Subdivider's conlraclors', subcomraclors', agents', or employees' operation under this Agreement, whelher such operations be by Subdivider or by any of Subdivider's contraclors, subconlraclors, or by any one or more persons directly employed by, or acting as agent for, Subdivider or any of Subdivider's contraclors or subcontraclors. Subdivider agrees lo, and shall, defend City and ils declive and appoinlive Boards, Commissions, officers, agents and employees from any suils or actions al law or equily for damages caused, or alleged lo have been caused, by reason of any oflhe aforesaid operalions. In addilion lo the above: a. Thal City does not. and shall not, waive any rights againsl Subdivider which il may have by reason oflhe aforesaid hold-harmless agreemem, because of the acceplance by City, or the deposit wilh Cily by Subdivider, of any of 1he insurance policies described herein.
