<br />reference only and shall be disregarded in the interpretation of this <br />Agreement. (f) Time is of the essence. (g) This Agreement shall be <br />governed by and subject to California law. (h) If either party <br />commences an action against the other or a dispute arises under this <br />Agreement, the prevailing party shall be entitled to recover from the <br />other reasonable attorneys' fees and costs. (i) If Licensee consists of <br />more than one person then the obligations of each person shall be joint <br />and several. (j) Licensee may not record this Agreement or any <br />memorandum hereof. (k) Subject to the prohibition against assignments <br />or other transfers by Licensee hereunder, this Agreement shall be <br />binding upon and inure to the benefit of the parties and their respective <br />heirs, representatives, successors and assigns. <br /> <br />20.
