EXHIBIT F

SPECIFIC PROJECT REQUIREMENTS:
Keystone Adult Learning Center
(Computer/Domestic Skills Projects
and Purchase of Miscellaneous Equipment)

This attachment sets forth the specific contract requirements for
the above-noted project. The City agrees to provide HCD funds in
the amount of $4,812 in FY 1991-92 and $10,603 (tentatively) in
FY 1992-93 to Keystone Adult Learning. Center under the following
conditions:

The amount of any FY 1992-93 or FY 1993-94 funding noted
above is tentative and subject to change prior to the fiscal
year in question pending notification from HUD of the City's
final grant amount through the Alameda County Urban County.

The sub-grantee shall provide documentation to the City that
more than 50% of Keystone's clients qualify as "lower
income" households (i.e. less than 80% of Oakland PMSA
median income). The sub-grantee shall maintain records of
residents' household incomes available for review by the
City at all times. This requirement shall apply throughout
the term of the agreement.

The sub-grantee shall compile and maintain an inventory of
all fixed assets acquired with Pleasanton HCD funds. It is
the intent that all fixed assets acquired through HCD funds
remain'at the Center for the use of its clients. The sub-
grantee shall submit a report to the City annually (e.g. by
June 30 of each year) listing each item and its current
disposition. If any items are sold at a later date, the
value of said items shall be returned to the City's HCD
program budget.

(hcdexhf3.mern)
September 20, 1991
