any threatened or attempted violation of the rights of the <br />parties hereto. <br />18. Applicable Law. This Agreement shall be construed and <br />enforced in accordance with the laws of the State of California. <br />19. No Joint Venture or Partnership. The City and <br />Developer hereby renounce the existence <br />venture or partnership between the City <br />that nothing contained herein or in any <br />connection herewith shall be construed <br />Developer joint venturers or partners. <br />20. Indemnification. <br />A. Neither Developer nor any <br />of any form of joint <br />and Developer, and agree <br />document executed in <br />~s making the City and <br />officer or employee <br />thereof shall be responsible for any damage or liability <br />occurring by reason of anything done or omitted to be done by the <br />City under or in connection with any work, authority or <br />jurisdiction delegated to the City under this Agreement. The <br />City shall indemnify, defend and hold Developer harmless from any <br />liability imposed for damage or injury occurring by reason of <br />anything done or omitted to be done by the City under or in <br />connection with any work, authority or jurisdiction delegated to <br />the City under this Agreement. <br />B.
