XI. TENANT REVIEW

The Home Owners in a Park shall have the right to have a
representative selected by the City Manager retained by them at
their expense to review the pertinent records of the Park Owner
in order to determine that any sums collected for specific
expenditures have been made for that purpose. The Park Owner, at
his own time and expense, shall make the pertinent records
available within ten (10) calendar days of the request to the
representative of the Home Owners. The Home Owners request must
be made within sixty (60) days after receiving the notice of rent
increase.

XII. THIRD PARTY BENEFICIARY

The parties recognize that this Agreement is intended to
benefit both Home Owners and Park Owners. LIMITATIONS

The parties recognize that the Home Owners at the various
Parks have the right not to participate in the formation of the
PMHC, or to enter into long term leases. If the Home Owners are
not interested in a PMHC or reject a long term lease, the Park
Owner shall not be deemed to have breached this Agreement.
However, the decision of the Home Owners must be voluntary and
not the result of direct or indirect influence by the Park Owners
or any person(s) representing the Park Owners as a group or at
each Park.

XIV. PROCEDURE FOR FUTURE RENT REVIEW

A. Space Rent Study. The parties hereto agree that four
years after this Agreement takes effect, in approximately January
1992, there shall be a space rent study of comparable mobile home
parks in Northern California. The sole purpose of the study
shall be to accumulate information from many different parks
regarding space rents and matters affecting space rents such as
amenities, presence of rent control, locational information, etc.
The study consultant shall not be empowered to determine which
mobile home parks are comparable and no particular weight shall
attach to the overall average of mobile home space rents.

B. Funding. The space rent study shall be funded equally
by the Park Owners, the Pleasanton Mobile Home Owners Association
and the City.

C. Designation of Study Consultant. If the PMHC cannot
agree upon a consultant to conduct the study, then the City
Manager shall designate the study consultant. The study shall be
completed by April 1, if possible.

D. Reference to PMHC.
