The Certificates are authorized to be executed and <br />delivered in the form of fully registered Certificates in <br />denominations of five thousand dollars ($5,000) each or any <br />integral multiple thereof so long as no Certificate shall <br />represent principal becoming payable on more than one <br />Certificate Payment Date. <br /> <br /> The Certificates are subject to prepayment on any <br />date prior to their respective Certificate Payment Dates, as a <br />whole, or in part by lot within each Certificate Payment Date <br />selected as provided in the Trust Agreement, from prepaid Base <br />Rental Payments made by the City from funds received by the <br />City due to a casualty loss or governmental taking of the <br />Demised Premises and Capital Projects I and II (as those terms <br />are defined in the Trust Agreement) or portion thereof, under <br />the circumstances and upon the conditions and terms prescribed <br />in the Trust Agreement and in the Facility Lease, at a <br />prepayment amount equal to the sum of the principal component <br />represented thereby plus accrued interest represented thereby <br />to the date fixed for prepayment, without premium. <br /> <br /> The Certificates with a Certificate Payment Date of <br />October 1, 2008 are subject to mandatory prepayment prior to <br />their stated Certificate Payment Date in part on October 1 of <br />each year on and after October 1, 2000, by lot, from and in <br />the amount of the principal components of the Base Rental <br />Payments due and payable on such dates, at a prepayment price <br />equal to the sum of the principal amount represented thereby <br />plus accrued interest represented thereby to the date of <br />prepayment, without premium. <br /> <br /> The Certificates payable on or before October 1, <br /> shall not otherwise be subject to prepayment before their <br />respective stated Certificate Payment Dates. <br /> <br /> Certificates payable on October 1, shall also <br />be subject to prepayment prior to their stated Certificate <br />Payment Date, at the option of the City, as a whole, or in <br />part by lot, from any source of available funds, on any <br />Certificate Payment Date on or after October 1, at the <br />principal amount represented thereby plus accrued interest <br />represented thereby to the date fixed for prepayment, plus a <br />premium, if any, set forth below as a percentage of such <br />principal amount: <br /> <br /> 17 <br />1451S <br /> <br /> <br />
