The Trustee shall give notice of prepayment of any <br />Certificates to be prepaid pursuant to Section 4.01(a) or (d) <br />upon receipt of a Written Request of the City (which request <br />shall be given to the Trustee at least thirty (30) days prior <br />to the date fixed for prepayment), but only after the City <br />shall have made a prepaid Base Rental Payment to the Trustee <br />and the Trustee shall have deposited in the Prepayment Fund <br />established pursuant to Section 5.02(c) such prepaid Base <br />Rental Payment in an amount sufficient for the payment of the <br />prepayment price represented by all Certificates to be prepaid <br />(or the Trustee determines that a prepaid Base Rental Payment <br />will be made available to it in an amount sufficient and in <br />time sufficient for such purpose), together with the estimated <br />expense of giving such notice. <br /> <br /> Failure by the Trustee to give notice pursuant to <br />this Section 4.03 to any one or more of the information <br />services or securities depositories, or the insufficiency of <br />any such notices shall not affect the sufficiency of the <br />proceedings for prepayment. Neither failure by the Trustee to <br />mail notice of prepayment pursuant to this Section 4.03 to any <br />one or more of the respective Owners of any Certificates <br />designated for prepayment nor any defect in such notice shall <br />affect the sufficiency of the proceedings for prepayment with <br />respect to the Owners to whom such notice was mailed. <br /> <br /> SECTION 4.04. Partial Prepayment of Certificates. <br />Upon surrender of any Certificate prepaid in part only, the <br />Trustee shall execute and deliver to the Owner thereof a new <br />Certificate or Certificates representing the unprepaid <br />principal amount of the Certificate surrendered. <br /> <br /> SECTION 4.05. Effect of Prepayment. If notice of <br />prepayment has been duly given as aforesaid and moneys for the <br />payment of the prepayment price on the Certificates to be <br />prepaid are held by the Trustee, then on the prepayment date <br />designated in such notice the Certificates so called for <br />prepayment shall become payable at the prepayment price <br />specified in such notice; and from and after the date so <br />designated interest represented by the Certificates so called <br />for prepayment shall cease to accrue, such Certificates shall <br />cease to be entitled to any benefit or security hereunder and <br />the Owners of such Certificates shall have no rights in <br />respect thereof except to receive payment of the prepayment <br />price represented thereby. The Trustee shall, upon surrender <br />for payment of any of the Certificates to be prepaid, pay such <br />Certificates at the prepayment price thereof. <br /> <br /> All Certificates prepaid pursuant to the provisions <br />of this Article shall be cancelled by the Trustee and shall <br />not be redelivered. <br /> <br /> 30 <br />1451S <br /> <br /> <br />
