Except as discussed
below, the City will cause to be maintained public liability
insurance. Minimum liability limits for such insurance are
$I.0 million for personal injury or death of one person; $3.0
million for personal injury or deaths of two or more persons
in each event; and $200,000, subject to a deductible clause
not to exceed $5,000, for property damage from each event.
Such public liability and property damage insurance may
however be in the form of a single limit policy in the amount
of $3.0 million covering all such risks. Before another
method or plan may be provided by the City, there will be
filed with the Trustee a certificate of an actuary,
independent insurance consultant or other qualified person,
stating that, .in the opinion of the signer, the substitute
method or plan of protection is in accordance with the
requirements of the Facility Lease and, when effective, would
afford reasonable protection to the Corporation, its members,
directors, officers, agents and employees and the Trustee
against loss and damage from the hazards and risks covered
thereby. There will also be filed a certificate of the City
setting forth the details of such substitute method or plan.

Maintenance, Utilities, Taxes and Assessments

The City will be responsible for the maintenance and
repair of the Demised Premises and the Project while in
possession, and will pay or arrange for the payment of such
costs, as well as utilities, and taxes and assessments
throughout the term of the Facility Lease.

Eminent Domain Proceedings

If the whole of the Demised Premises and the Project
or so much thereof as to render the remainder unusable for the
purposes for which it was used by the City is taken under the

B-12
1685S
