ASSIGNMENT AGREEMENT <br /> RELATING TO FACILITY LEASE <br /> (CAPITAL PROJECTS I AND II) <br /> <br /> This ASSIGNMENT AGREEMENT, made and entered into as <br />of October 1, 1987, by and between the CITY OF PLEASANTON <br />PUBLIC FACILITIES CORPORATION, a nonprofit corporation duly <br />organized and existing under the laws of the State of <br />California (the "Corporation"), and BANK OF AMERICA NATIONAL <br />TRUST AND SAVINGS ASSOCIATION, a national banking association <br />organized and existing under the laws of the United States of <br />America (the "Trustee"); <br /> <br /> W I TNE S SETH: <br /> <br /> WHEREAS, the Corporation and the City of Pleasanton, <br />California (the "City"), have entered into a lease, entitled <br />"Site Lease (Capital Project I )" and dated as of October 1, <br />1987 (the "Site Lease"), and have entered into a lease, <br />entitled "Facility Lease (Capital Projects I and II )" and <br />dated as of October 1, 1987 (the "Facility Lease"); and <br /> <br /> WHEREAS, under the Facility Lease, the City is <br />obligated to make certain base rental payments to the <br />Corporation for the lease of Capital Projects I and II (as <br />those terms are defined in the Facility Lease); and <br /> <br /> WHEREAS, the Corporation desires to assign without <br />recourse all of its rights to receive such base rental <br /> <br />1453S <br /> <br /> <br />
