BNY WESTERN TRUST - DEPOSIT AND ESCROW AGMT 2000

~ ~ Section 8. Binding Effect; Successors. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns. The owners of the Bonds shall have no lien whatsoever on moneys or investments held by the Escrow Agent in accordance with this Agreement. Whenever in this Agreement any party is named or referred to, such reference shall be deemed to include such party's successors or assigns, and all instructions contained in this Agreement to, by or on behalf of any party hereto shall bind and inure to the benefit of such party's successors and assigns whether so expressed or not. This Agreement is for the exclusive benefit of the parties hereto and their respective successors, and shall not be deemed to give, either express or implied, any legal or equitable right, remedy or claim to any other entity or person whatsoever. Section 9. Amendments. This Agreement may not be amended, changed, modified or altered except in writing signed by all the parties hereto. Section 10. Counterparts. This Agreement may be executed, approved and acknowledged in several counterparts, all or any one of which shall be regarded for all purposes as one original and shall constitute and be but one and the same instrument. Section 11. Notices and Addresses.
