Waiver. <br />The waiver by either .party of any breach of any term, covenant or condition of -this <br />agreement shall not be deemed a waiver of such term, covenant or condition or any <br />subsequent breach of the same or of any other terms, covenant or condition of this <br />agreement. <br />13. Entire Understanding. <br />This agreement represents the entire understanding of the parties hereto with <br />respect to the subject matter hereof and supersedes all prior written or oral <br />agreements or representations, if any, relative to the subject matter involved.. This <br />agreement may be amended, in whole or in part, only by further written agreement <br />executed by each of the parties hereto. <br />14. California Law. <br />The interpretation and performance of this agreement shall be governed by the laws <br />of the State of California. <br />15. Ca tions. <br />The captions inserted herein are inserted only as a matter of convenience and for <br />reference only and in no way define, limit or describe the scope of this agreement nor <br />the intent of any of the provisions hereof. <br />16. lAfarranty of Authority. <br />Any person executing this agreement in a representative capacity expressly <br />represents and warrants that he has the authority to execute this Agreement on <br />behalf of his principal and that upon execution, the principal shall be bound by each <br />and every term hereof. <br />17. Singular Usage. <br />The usage of the singular form of nouns and verbs shall be deemed to include the <br />plural form as appropriate by the context. <br />- 7 - <br />
