<br />11. Hold Harmless. Subdivider shall indemnify and hold City, its elective and <br />appointive Boards, Commissions, Council, officers, employees. and agents harmless from any <br />liability for damage or claims for damage for personal injury, including death, as well as from <br />claims from property damage, which may arise from Subdivider's work under this Agreement, <br />whether such work be by Subdivider or by any of Subdivider's employees, agents, contractors, <br />subcontractors, or by any one or more persons directly employed by, or acting as agent for, <br />Subdivider or any of Subdivider's contractors or subcontractors. Subdivider shall defend City <br />and its elective and appointive Boards, Commissions, Council, officers, employees and agents <br />from any suits or administrative claims or actions, actions at law or equity for damages, caused, <br />or alleged to have been caused, by reason of any of the work. In addition: <br />a. City does not and shall not waive any rights against Subdivider which it <br />may have by reason of the hold harmless provisions because of the <br />acceptance by City, or the deposit with City by Subdivider, of any of the <br />insurance certificates or policies described herein. <br />b. The above hold harmless provisions shall apply to all damages and claims <br />for damages of every kind suffered, or alleged to have been suffered, by <br />reason of any of the work referred to in this Agreement, regardless of <br />whether City has prepared, supplied or approved of plans or specifications <br />for the subdivision, or regardless of whether such insurance certificates or <br />policies have been determined to be applicable to any of such damages or <br />claims for damages. <br />12. Insurance. <br />a. Subdivider shall provide the following: <br />A Certificate of Insurance issued to the City of Pleasanton <br />providing proof of Worker's Compensation. The duration <br />of this insurance shall include the one year maintenance <br />period. <br />2. A Certificate of Insurance showing the amount of general <br />liability and property damage coverage with insurance <br />coverage of at least the following amounts: <br />(a) Minimum Scope of Insurance <br />Coverage shall be at least as broad as: <br />(1) Insurance Services Office form number <br />CG 00 O1 (Ed. 1/96) covering Commercial <br />General Liability, and naming the City as an <br />additional insured. <br />(Revised September 1998) 4 <br />
