.~ ! • 5.3. De1;vPry of Buyer's DocumentG and Funds. Before the close of Escrow, Buyer shall deposit the following into the Escrow for delivery to Seller at the close of Escrow: 5.3.1. Cash in an amount equal to the Purchase Price shall be deposited with the Escrow Holder; 5.3.2. Such additional sums as are necessary for Buyer to pay its share of the closing costs pursuant to Section 5.7. 5.4. Tnetrnri-;OnS to Escrow Holder. Upon close of Escrow, Escrow Holder promptly shall undertake all of the following: 5.4.1. Disburse all funds deposited with Escrow~Holder by Buyer in payment of the Purchase Price as follows: 5.4.1.1. Deduct all items chargeable to the account of Seller for closing costs under Section 5.7 and pay the amount of such items to the persons entitled to such payment; 5.4.1.2. If, as a result of the prorations under Section 5.6, amounts are to be charged to the account of Seller, deduct the total amount of such charges and pay and credit, as appropriate, the amount of such charges to Buyer; 5.4.1.3. Disburse the remaining balance of the funds to Seller or Seller's order promptly upon the close of Escrow; 5.4.2. Bill Buyer for all items chargeable to Buyer under Section 5.7, for which items Buyer agrees to be responsible; 5.4.3. Cause the Grant Deed, and any other documents which the parties may mutually direct to be recorded with the recording. office of Alameda County; and 5.4.4.
