10. Interpretation. The provisions of this Agreement shall serve as <br />requirements and procedures pertaining to District's management and <br />administration of the Rate Stabilization Fund. Notwithstanding the foregoing, this <br />Agreement shall be administered in furtherance of the purposes of the Bond <br />Documents. If any of the provisions of this Agreement conflict with any of the <br />provisions of the Bond Documents, or conflict with the performance of any of the <br />duties of District under the Bond Documents, the provisions of the Bond <br />Documents and the performance of duties and obligations under the Bond <br />Documents shall prevail and govern in all instances. Subject to the foregoing, <br />District shall be governed by the provisions herein contained in advising or <br />instructing any trustees, agents, or other officers, persons or parties acting for or <br />on behalf of District, as set forth in the Bond Documents, or any of such <br />documents. <br />11. Severabilitv. If any one or more of the provisions or agreements or <br />portions thereof contained in this Agreement shall be held by a court of <br />competent jurisdiction to be void, voidable, or unenforceable, then such <br />agreement, or provision or such portion thereof, shall be null and void and shall <br />be deemed separable from the remaining agreements, or provisions or portions <br />thereof, and shall in no way affect the validity or enforceability of the remaining <br />portions of this Agreement. <br />12. Integration. This Agreement represents the entire agreement <br />between the parties regarding the subject matter hereof. This Agreement shall <br />not be amended, changed, modified, or altered except in writing. The parties <br />may at any time agree to the amendment or termination of this Agreement; <br />provided, however, that the parties acknowledge that this Agreement is entered <br />into in implementation of the issuance and sale of the Bonds and pursuant to the <br />Bond Documents and, accordingly, any such amendment or termination shall <br />Agmt-41 <br />f/sh/sh/DSRSD 18 <br />DES:r <br />12/S~OOr <br />
