WHEREAS, the Properties to be annexed are depicted on maps as <br />Exhibits A and B, respectively, attached hereto and incorporated <br />herein by reference. <br />NOW, THEREFORE, in consideration of the mutual promises stated <br />herein, City and District agree as follows: <br />1. ANNEXATION. <br />Subject to the terms and conditions of this Agreement, City and <br />District shall take all necessary steps to cause the Properties to <br />be annexed to the City of Pleasanton. District shall pay all <br />annexation fees with respect to Shadow Cliffs. District shall not <br />be responsible for annexation fees with respect to that portion of <br />the Pleasanton Ridge Regional Park. <br />2. IMPLEMENTATION OF THE SHADOW CLIFFS LAND USE DEVELOPMENT <br />PLAN; SITE IMPROVEMENTS; LAND USE CHANGES. <br />District has adopted the Shadow Cliffs Land Use Development Plan <br />("the Plan), dated September 18, 1989. District and City shall <br />cooperate to implement the Plan, including the relocation of the <br />main park entrance on Stanley Boulevard and resolution of the <br />"Vineyard Avenue" access to Shadow Cliffs.
