and/or access roads are borne by the Developer. At such time that <br />the City decides to design and construct the permanent roadways, the <br />improvements made by the Developer within the roadway area will <br />be abandoned or conveyed to the City at no cost to the City. <br />C. City shall provide Developer with a detailed map showing the <br />precise alignment and location of the proposed roadways. <br />VI. Non-assign ility. Prior to completion of the Development, Developer <br />shall not transfer, convey or assign the Development to a third party other <br />than a nonprofit affiliate or a partnership of which Developer is a general <br />partner, unless Developer receives prior written approval by City. Upon <br />completion of the Development, Developer shall have the right to transfer, <br />convey or assign the Development to a third party subject to approval of the <br />City. Such approval shall not be unreasonably withheld provided the <br />Developer demonstrates to the satisfaction of the City that the third party is <br />capable of meeting the financial and/or operational terms of the land lease <br />and any other agreements entered into between the City and Developer. <br />Any such transfer shall be subject to all the terms, conditions, covenants <br />and restrictions of this agreement. <br />Agreement for Disposition and Development <br />of the Land for Private Development -December 1, 1992 <br />Page 7 <br />
