herein by reference. <br />1.8 The Bernal Avenue "Loop", including the <br />Bernal/Bonde extension has been shown as part of the <br />circulation element of the City General Plan since 1958, and <br />is a listed but unf unded project in City's Capital <br />Improvement Program. <br />1.9 The Bernal/Bonde extension will require the <br />acquisition of right-of-way by City, some of which is over <br />land that is both subject to an agricultural land preserve <br />(Williamson Act Contract) and outside the current city <br />limits of Pleasanton, in Alameda County. <br />1.10 Neither Lin nor City have been able to <br />negotiate the acquisition of the necessary right-of-way by <br />purchase and it has become necessary for the City to <br />exercise its right of eminent domain. <br />ARTICLE II <br />AGREEMENT <br />2.1 City (through the North Pleasanton <br />Improvement District) agrees to purchase the Lin/West Las <br />Positas property at fair market value which amount is One <br />Million Dollars ($1,000,000). Subject to appropriate <br />indemnifications from Lin, City agrees to cooperate with Lin <br />to affect an exchange pursuant to Internal Revenue Code <br />Section 1033 or 1031. <br />2.2 Lin agrees to apply all funds received in <br />3 <br />
