All notices shall be delivered pursuant to the provisions of the Purchase Contract, <br />and shall be delivered to Seller and Buyer at the addresses set forth in the Purchase Contract, and <br />to North American Title Company at the address set forth below. <br />7. Other Instructions. <br />7.1 These Instructions constitute the entire escrow instructions between you, the escrow <br />holder, and the undersigned. These Instructions may not be amended, modified, cancelled, <br />withdrawn, terminated or waived except by written instrument executed by both Seller and Buyer. <br />These Instructions shall be construed under and governed by the laws of the State of California. If <br />any provision hereof is deemed illegal or unenforceable, that provision shall be severed from these <br />Instructions and the remainder shall be enforced in accordance with the intentions of the parties as <br />expressed in these Instructions. These Instructions and all of the provisions contained herein shall <br />be binding on and inure to the benefit of the Seller and Buyer and their respective heirs, successors <br />and permitted assigns. Time is of the essence for these Instructions. You are instructed to furnish <br />copies of all instructions, amendments and statements to Buyer, Seller, and any lender or attorney <br />connected with this transaction, upon request. <br />7.2 Please acknowledge receipt and acceptance of these Instructions by signing a copy <br />of this letter in the space provided below, and by delivering an executed copy hereof to the <br />undersigned via facsimile with a copy to follow by mail at the address indicated above. Any <br />action taken by you with respect to this Escrow after receipt of these Instructions will be deemed <br />an agreement by you to adhere strictly to these Instructions. <br />If you have any questions concerning any of the matters addressed above, please contact <br />Buyer and Seller at the locations listed above.
