Ruby Hill shall continue to pay in lieu park dedication fees <br />until it pays an additional $237,319; at the current park fee <br />rate ($4009/unit), payment would continue for the next 59.196557 <br />units. <br />5. Governing Law. This Contract is being executed and <br />delivered, and is intended to be performed, in the State of <br />California, and the laws of California shall govern the validity, <br />construction, enforcement, and interpretation of this Contract, <br />unless otherwise specified herein. This Contract is performable <br />in, and the exclusive venue for any action brought with respect <br />hereto, shall lie. in, Alameda County, California. <br />6. Entirety and Amendments. This Contract embodies the entire <br />agreement between the parties and supersedes all prior agreements <br />and understandings, if any, relating to the payment of in lieu <br />park dedication fees for-the Ruby Hill development, and may be <br />amended or supplemented only by an instrument in writing executed <br />by the party against whom enforcement is sought.. <br />7. Bindincr.
