6. Special Fund Demands. From the Special Fund herein- above referred to in Paragraphs I-C-5, III-E-1, III-E-2 and III-E-3, City agrees to pay its share of the annual cost of funding certain improvements as such costs are finally determined by the procedures for bidding the construction of such improvements, together with any Assessment District costs and interest charges pertinent to such im- provement costs. F. Mutual Benefit District. The City will, by appropriate procedures and/or ordinances, create pursuant to applicable Sections of the California Business and Professions Code, mutual benefit dis- tricts for the purpose of providing sources of additional funds to pay for the rights of way for Stoneridge Drive east of I-680 and the improve- ment of such portions of Stoneridge Drive. The application of such funds is more particularly described in Paragraph II-B-4 hereof. IV. DEVELOPER AGREES TO ASSUME THE FOLLOWING OBLIGATIONS A. Developer waives any investigation proceeding under the Special Assessment Investigation, Limitation and r9ajority Protest Act of 1931 of the State of California and agrees that said Act shall not apply to any of the assessment district proceedings referred to herein in which Developer is involved or is to be assessed. This waiver will be binding upon any successors in interest or title of Developer to the property described herein as Shopping Center, or to any part or portion thereof, or any undivided interest therein, and Developer agrees that any successor in interest, or any part or portion thereof, shall be bound by this waiver and agrees that City will be furnished with evi- dence of such agreement prior to City taking steps described in Section III of this agreement. B. Developer (but not Stoneson) further hereby waives the right to protest the formation of any of said described Assessment Districts. - 10 - F
