5.29.81 <br />C169-020 <br />use and/or operation of the Storm Drain after its acceptance <br />by Pleasanton; <br />NOW, THEREFORE, the parties hereto agree as follows: <br />ACCEPTANCE OF DEDICATION AND MAINTENANCE <br />Upon completion of construction of the Storm Drain <br />by Valley and final inspection and approval of the Storm <br />Drain by Pleasanton, Pleasanton shall do all things neces- <br />sary to accept Valley's offer of dedication of the Storm <br />Drain. <br />Thereafter, the Storm Drain shall be maintained in <br />good condition and repair by Pleasanton at its own expense. <br />ARTICLE II <br />INDEMNIFICATION <br />Pleasanton agrees to and hereby indemnifies Wilcox <br />against and saves them harmless from any and all claims, <br />demands, liabilities, loss, cost, expense, damage, set-off <br />or recoupment, including reasonable attorneys' fees, which <br />may be asserted against Wilcox arising out of the mainten- <br />ance, use, and/or operation of the Storm Drain after accept- <br />ance by Pleasanton of Valley's offer of dedication of the <br />Storm Drain. <br />-2- <br />
