Lessee may assign this Lease at any time with Lessor's consent, which consent shall not be unreasonably withheld, except that Lessee shall have the right to assign to an affiliate, subsidiary or parent company of the Lessee without the consent of Lessor. 14. Title and Ouiet Enjoyment. (a) Lessor warrants that it has full right, power, and authority to execute this Lease; Lessor further warrants that Lessee shall have quiet enjoyment of the Premises during the Term of this Lease or any Renewal Term thereof. (b) Lessee has the right to obtain a title report which shall be attached hereto as Exhibit "C," or a commitment for a leasehold title policy from a title insurance company of its choice. If, in the opinion of Lessee, such title report shows any defects of title or any liens or encumbrances which may adversely affect Lessee's use of the Premises, Lessee shall have the right to terminate this Lease immediately upon written notice to Lessor. 15. $~,pait~. Lessee shall not be required to make any repairs to the Premises unless such repairs shall be necessitated by reason of the default or neglect of Lessee, its agents, servants and employees as specified herein. 16. Environmental. Lessor represents that the Premises have not been used for the generation, storage, treatment or disposal of hazardous substances or hazardous wastes. In addition, Lessor represents that no hazardous substances, hazazdous wastes, pollutants, asbestos, polychlorinated biphenyls (PCBs), petroleum or other fuels (including nude oil or any fraction or derivative thereof) or underground storage tanks are located on or about the Premises. Notwithstanding any other provision of this Lease, Lessee relies upon the representations stated herein as a material inducement for entering into this Lease. Lessee shall not bring any hazardous materials onto the Premises except for those contained in its back-up power batteries (lead-acid batteries) and common materials used in telecommunications operations, e.g. cleaning solvents. Lessee will treat all Hazardous Materials brought onto the Premises by it in accordance with all Federal, State and Local laws and regulations. 17. Miscellaneous. (a) This Lease constitutes the entire agreement and understanding between the parties, and supersedes all offers, negotiations, agreements and other leases concerning the subject matter contained herein. There are no representations or understandings of any kind not set forth herein. Any amendments to this Lease must be in writing and executed by both parries. (b) If any provision of the Lease is invalid or unenforceable with respect to any party, the remainder of this Lease or the application of such provision to persons other than those as to whom it is held invalid or unenforceable, shall not be affected and each provision of this Lease shall be valid and enforceable to the fullest extent permitted bylaw. (c) This Lease shall be binding on and inure to the benefit of the successors and permitted assignees of the respective parties.
