Mr. Nelson Fialho
City Manager
City of Pleasanton
August 30, 2013
Page 2
6. The County will continue its efforts to achieve closure of Segment 7, as defined in
Paragraph 1.4 of the Agreement;
7. The County and City agree that as to Segment 7 only, the closing date for
purchase of Segment 7 will be extended for up to an additional two years, pursuant to Paragraph
8, until the earlier of: (i) 30 days after closure of Segment 7 as set forth in Paragraph 1.4 of the
Agreement is accomplished; (ii) the City in its discretion decides to purchase Segment 7 based
upon the conditional closure which was attained by the County effective as of October 12, 2012
pursuant to Paragraph 1.4(b) and 1.4.1; or(iii) July 31, 2015. This reflects a further extension of
the interim extensions to August 14, 2013, September 3, 2013 and September 30, 2013, which
was previously agreed to by the parties;
8. Upon the issuance of closure for Segment 7, as required under Paragraph 1.4, the
City agrees to purchase Segment 7 for the balance purchase price of$312,750 within 30 days of
issuance of the Remedial Action Completion Letters as set forth in Paragraph 1.4 of the
Agreement;
9. If closure of Segment 7 is not achieved by July 31, 2015, the City may decide to
purchase Segment 7 pursuant to Paragraph 1.4(b) based upon the conditional closure achieved
pursuant to Paragraph 1.4.1, or a further extension of the closing date as to Segment 7 may be
agreed upon. If no further extension is agreed upon beyond July 31, 2015, the City will initiate
the zoning changes requested by the County pursuant to Paragraph 1.4;
10. The County will request from Chevron additional information concerning the
specifics of any remediation work contemplated on Segment 7, including, without limitation, the
placement of any wells, trenches, or other physical improvements and the location thereof on
Segment 7, and the anticipated duration of any remediation work, including how long any wells,
trenches or other improvements will remain on Segment 7.
The provisions of this letter are all within the terms of and consistent with the existing Purchase
Agreement and the Agreement explicitly provides the authority to undertake the implementation
steps set forth in this letter, Accordingly, it was agreed that no amendment to the Agreement is
required or appropriate, and this letter agreement confirms the specific steps whereby Segments
8 — 10 will be purchased and how the acquisition of Segment 7 will be handled. Except as to the
implementation steps set forth herein (modification of closing and payment date(s), all terms and
conditions of the Agreement remain in full force and effect.
010618.0026\3259172.1
