MAINTENANCE AND TRADE SERVICES AGREEMENT CALLIPPE PRESERVE GOLF COURSE TEE RENOVATIONS THIS AGREEMENT is made and entered into this 25th day of March 2026 between DHR Construction, Inc. ("Contractor"), a California Corporation, whose address is 860 Green Island Road, American Canyon CA 94503 and the CITY OF PLEASANTON, a municipal corporation ("City"). RECITALS A.Contractor is qualified and experienced in providing golf course tee renovation and expansion to the Callippe Preserve Golf Course and was awarded this project as the lowest responsible bidder as these repair services are set forth in Exhibit A of this Agreement. B.City found it necessary and advisable to obtain work or services from Contractor as a request by the City to perform tee modifications and reconditioning on holes #5, #9, #10, #12 and #17. NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, City and Contractor agree as follows: 1.Term. The term of this Agreement commences on the date written above and will expire upon completion of the necessary repairs and satisfaction as determined by the City. 2.Services to be performed. Contractor shall perform, or cause to be performed, the work or services described in Exhibit A and will be paid on a time and material basis. 3.Compensation. City shall pay Contractor for work performed at the prices set out in the Contractor’s Price Quote to the City as set forth in Exhibit A attached and incorporated herein. Compensation for work shall not exceed $100,883 which includes a fifteen (15) percent contingency for unforeseen circumstances and related extra work as determined necessary by the City per the Contractor’s proposal of $87,724. Payment of such contingency funds is not guaranteed to Contractor unless the City requests such extra work. a.Payment shall be made within thirty (30) days of receipt of Contractor’s invoice and approval by City. b.If the prevailing wage for crafts or classifications subject to this Agreement change during the term of this Agreement, the City will accept corresponding increases in Contractor’s hourly rates when sufficient documentation is received from the Contractor and verified with the Department of Industrial Relations. 4.Indemnification.
