Third Amendment Page 1 <br />THIRD AMENDMENT TO AGREEMENT <br />This Third Amendment to Agreement ("Third Amendment") is entered into this 30 day of June <br />2026 by the City of Pleasanton ("City") and Woodard & Curran, Inc. ("Consultant”) <br />Whereas, on October 13, 2022 the City and Consultant entered into Professional <br />Services Agreement for sewer system hydraulic modeling support services, as amended by the <br />Amendment on March 13, 2023 to replace Exhibit A with the 2023 Rate Schedule, and as <br />amended by the Second Amendment on February 26, 2026 to increase the compensation <br />(collectively the "Agreement"); and <br />Whereas, the parties the parties would like to extend the term of the Agreement. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1. Section 3 of the Agreement, " Term" is amended to read: The term of this Agreement <br />shall be extended by one year to June 30, 2027 <br />2. Exhibit A of the agreement will be amended to reflect hourly billing rates for the <br />extended term, from July 1, 2026, to June 30, 2027. <br />3.This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be <br />delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California <br />Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other <br />applicable law) or other transmission method, and any counterpart so delivered shall be <br />deemed to have been duly and validly delivered and be valid and effective for all <br />purposes. <br />4.
