INDEMNIFICATION AGREEMENT <br /> PARCEL MAP 10184, THE VINTAGE MIXED USED VILLAGE OFFSITE IMPROVEMENTS <br /> ft <br /> THIS INDEMNIFICATION AGREEMENT is entered into this d %day of R 015, by <br /> <-- P vim+ ("Contractor") and the CITY OF PLEASANTON("City"). <br /> WHEREAS, CP IV Vintage LLC ("Developer") has Vesting Tentative Parcel Map 10184("Map") <br /> approved by the City, a copy of which is on file in the office of the City Engineer, and by reference is <br /> incorporated into this Agreement; has a City-approved planned unit development plan(PUD-87) adopted <br /> by Ordinance No. 2075; and has executed an Offsite Improvement Agreement with the City to construct <br /> the improvements set forth in"The Vintage Mixed Use Village Off-Site Improvements",prepared by <br /> BKF Engineers, dated August 27, 2015, a copy of which is on file in the office of the City Engineer; and <br /> WHEREAS, Contractor has entered into an agreement with Developer to construct the offsite <br /> public improvements described in the Offsite Improvement Agreement; and <br /> WHEREAS, as required by the Offsite Improvement Agreement, Contractor is required to <br /> indemnify the City and provide insurance for claims arising from the Contractor's work in constructing <br /> and installing the offsite public improvements described in the Offsite Improvement Agreement; <br /> NOW, THEREFORE,the parties agree as follows: <br /> 1. Indemnification. Contractor agrees to indemnify, defend and hold harmless the City, its <br /> elective and appointive officials, Commissions, officers, agents and employees in the same manner as the <br /> Developer as described in Section 12 of the Offsite Improvement Agreement, a copy of which is attached <br /> as Exhibit A. <br /> 2. Insurance.
