First Amendment Page 1 <br />FIRST AMENDMENT TO AGREEMENT <br />This First Amendment to Agreement ("First Amendment") is entered into this 7th day of May <br />2026 by the City of Pleasanton ("City") and FCS International, Inc., dba First Carbon Solutions <br />(FCS) ("Consultant”). <br />Whereas, on October 15, 2025 the City and Consultant entered into a Professional <br />Services Agreement for the preparation of Environmental Impact Reports and addenda thereto <br />("Agreement"); and <br />Whereas, the City has determined a need for additional related services and <br />compensation. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1.Section 1. of the Agreement, "Consultant’s Services" is amended to include the <br />additional scope of services as described in Exhibit A to this amendment. <br />2.Section 4 of the Agreement, “Compensation” is increasing by $18,832 for a new total <br />compensation amount of $110,135. <br />3.This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be delivered <br />via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br />Transactions Act (Cal.
