SERVICE AGREEMENT THIS SERVICE AGREEMENT is made October 14, 2008 between the City of Pleasanton(Pleasanton) and the City of Livermore(Livermore). Recitals A. Pleasanton is the temporary transferee of a State of California owned fire apparatus (fire apparatus)more specifically described in an Agreement dated July 11, 2008 between Pleasanton and the State of California. B. Said fire apparatus will need to be serviced from time to time. C. Livermore's automotive maintenance personnel has particular expertise in servicing this particular type of fire apparatus and Livermore has offered to have the fire apparatus serviced at its facilities. D. Pleasanton has requested Livermore Maintenance Department to provide this service E. In order for Livermore Maintenance Department to service the fire apparatus at its facilities,it will be necessary for Livermore personnel from time to time to drive the fire apparatus. NOW, THEREFORE,in consideration of the following,the parties agree as follows: l. Livermore shall service the fire apparatus at its facilities as and when requested to do so from time to time by Pleasanton. 2. Livermore shall not directly charge Pleasanton for this service; any costs will be part of the cost sharing arrangement between the parties concerning the operation of the Livermore-Pleasanton Fire Department. 3. Pleasanton shall hold harmless, indemnify and defend Livermore and its respective elected and or appointed officers, employees, agents,their assigns and successors against and from any and all liability, losses, or damages, and any claims legal and/or administrative for such on account of the death or injury of any person and/or damage to any property,including but not limited to the fire apparatus arising out of Livermore's servicing the fire apparatus,or driving the fire apparatus in connection with servicing the fire apparatus.
