<br />REIMBURSEMENT AGREEMENT <br /> <br /> <br />This Reimbursement Agreement for consultant services related to development <br />applications by USL Pleasanton Lakes, L.P. (“Agreement”) is entered into on August 3, 2026, <br />between the City of Pleasanton, a general law city (“City”) and USL Pleasanton Lakes, L.P. <br />(“Applicant”). <br /> <br />RECITALS <br /> <br />A. Applicant owns properties in Alameda County adjacent to the City of Pleasanton and has <br />submitted development applications for those properties with Alameda County. The Applicant <br />and the City wish to explore annexation of the properties (the “Project”). <br /> <br />B. On July 1, 2026, City authorized work with Good City Company (Consultant) for <br />planning support services related to the Project. <br /> <br />C. Applicant agrees to reimburse City for the cost of such Consultant services (“Consultant <br />Costs”). <br /> <br />NOW, THEREFORE, in exchange for valuable consideration, the parties agree as follows: <br /> <br />1. Reimbursement of Consulting Costs. A description of the proposed scope of work and <br />estimate of costs is attached hereto (and incorporated herein as if set forth in full) as Exhibit A <br />(the “Eligible Consulting Costs”). Applicant shall reimburse the City for the Eligible Consulting <br />Costs in an amount not to exceed $195,130. <br /> <br />2. Time and Manner of Reimbursement. Applicant shall make an initial $25,000 payment <br />(the “Deposit”) to the City at the time of entering into this Agreement. Applicant shall make <br />twelve (12) subsequent deposits, paid monthly, each due within 30 days of being invoiced by the <br />City. The first scheduled deposit of $15,000 will be due on November 1, 2026, followed by ten <br />(10) subsequent monthly payments of $15,000 each. The remaining balance associated with this <br />Agreement ($5,130) shall be paid by the Applicant within 30 days of being invoiced by the City. <br />All invoices shall be provided by City pursuant to the notice requirements of Section 6, below. <br /> <br />Consulting Costs due to the City pursuant to this Agreement shall be payable to the City of <br />Pleasanton and mailed to the following address within 30 days: <br /> <br />Attention: Jennifer Miller <br /> City of Pleasanton Community and <br />Economic Development Department <br /> 200 Old Bernal Avenue <br />P.O. Box 520 <br />Pleasanton, CA 94566-0802 <br /> <br />3. Term. This Agreement shall be effective on the date of execution and shall continue <br />until September 30, 2028. <br /> <br />4.
