AGREEMENT FOR UTILITY BOX ART WORK <br />Artist Bianca Nandzik I V <br />THIS AGREEMENT FOR UTILITY BOX ART WORK ("Agreement") is made and entered into July <br />1, 2015, by the City of Pleasanton, a municipal corporation ("City") and Bianca Nandzik, an individual <br />("Artist"). <br />RECITALS <br />WHEREAS, Project Paint Box Utility Box Beautification is a City public art beautification program to <br />promote the City of Pleasanton and advertise the City's Downtown; and <br />WHEREAS, Artist has been selected to place Artist's conceived and designed artistic treatment as <br />shown in the attached Exhibit A ("Work") on the public utility box located at Del Valle Parkway and Main <br />Street, Pleasanton, California ("Site"); <br />WHEREAS, the City and/or a community donor will provide a stipend to fund the Work as a work for <br />hire to advertise and promote the City's Downtown; <br />WHEREAS, Artist desires to accept said funding and complete the Work at the Site; and <br />WHEREAS, Artist desires to transfer ownership of the Work as well as the Intellectual Property <br />interests in the Work to City and City desires to accept said Work and interests. <br />NOW, THEREFORE, in exchange for mutual consideration, the adequacy of which has been agreed <br />upon by the parties, the parties hereby agree as follows: <br />1. WORK BY ARTIST. Artist agrees to complete the Work at the Site in accordance with the City of <br />Pleasanton Civic Arts Commission Project Paint Box Utility Box Beautification Call to Artists — Guidelines, <br />attached as Exhibit B ("Guidelines") and incorporated herein by this reference. <br />Artist hereby represents and warrants to the City that the Work is solely the result of the artistic and <br />creative effort of Artist, that the Work is original, and that the Work does not infringe upon any copyright. The <br />Artist agrees not to reproduce the Work for any other project without prior written consent by City. <br />Artist agrees to coordinate with the City prior to commencing Work at the Site. <br />2. STIPEND. The City shall pay to Artist a stipend of $1,000 for the Work. RESPONSIBILITIES OF THE PARTIES_.
