LEASE AGREEMENT THIS LEASE AGREEMENT, dated as of May 1994, by and between the PLEASANTON JOINT POWERS AUTHORITY, a joint powers authority duly organized and existing under the laws of the State of Califomia, as lessor (the "Authority"), and the City of Pleasanton and City, a public body corporate and politic, duly organized and existing under the laws oFthe State of Califomia (the "City"); WITNESSETH: WHEREAS, the City wishes to refinance that certain property described in Exhibit B-1 hereto (the "Project"), and the City is authorized pursuant to the laws of the State of Califomia to enter into leasehold agreements for such purposes; and WHEREAS, the City Council of the City has determined that, in order to accomplish such purposes, it is necessary and desirable to refinance the Project by leasing the Project pursuant to this Lease Agreement; and WHEREAS, the Authority will cause to be deposited with the Trustee funds for the refinancing of the Project to be leased pursuant to this Lease Agreement; NOW, THEREFORE, in consideration of the above premises and of the mutual covenants hereinafter contained and for other good and valuable consideration, the parties hereto agree as follows: ARTICLEI DEFINITIONS; EQUAL SECURITY Section 101. Definitions. Unless the context otherwise requires, capitalized terms used herein have the meanings specified in this Section. All terms not defined herein shall have the meanings ascribed [o them in the Tmst Agreement. "Authority" means the Pleasanton Joint Powers Financing Authority, duly organized and existing under the laws of the State of Califomia. "Authority Representative" means the Chair of the Authority or its designee, the Vice-Chair, the Executive Director or any other person authorized to act on behalf of the Authority with respect to [he Lease Agreement.
