"Bonds" means the Bonds to be executed and delivered pursuant to the Tmst <br />Agreement and which aze secured by Lease Payments and proceeds received on account of <br />the Lease Agreement. <br />"City" means the City of Pleasanton, California. <br />"City's Representative" means the Mayor or City Manager of the City or any <br />other person appointed by the Mayor to act on behalf of the City for the purposes of this Lease <br />Agreement. <br />"Closing Daze' means the date when the Bonds, duly executed by the <br />Authority, are delivered to the original purchaser thereof. <br />"Code" means the Internal Revenue Code of 1986, as amended, including <br />regulations, rulings andjudicial decisions promulgated thereunder. <br />"Contractors" means [he contractors or vendors from whom the Authority, or <br />the City on behalf of the Authority, has ordered or caused to be ordered or with whom the <br />Authority, or the City on behalf of the Authority, has contracted or caused to be contracted for <br />goods or services related to the Project <br />"Due Dates" means the date five (5) Business Days prior to each Payment Date. <br />"Independent Counsel" means an attorney duly admitted to the practice of law <br />before the highest court of the State of California and who is not an employee of the <br />Authority, the Trustee oc the City. <br />"Insurance and Condemnation Fund" means the fund by that name established <br />and held by the Trustee pursuant to Section 209 of the Trust Agreement. <br />"Lease Agreement" or "Agreement" means this Lease Agreement, and any duly <br />authorized and executed amendment hereto. <br />"Lease Payment" means any payment due from the City to the Authority under <br />Section 403 of the Lease Agreement. <br />"Payment Fund" means [he Payment Fund established and held by the Trustee <br />for the City pursuant to Section 207 of the Trust Agreement. <br />"Net Proceeds" means any insurance or condemnation proceeds paid with <br />respect to the Project, remaining after payment therefrom of all expenses incurred in the <br />collection thereof. <br />"Owner" or "Bond Owner" or "Owner of a Bond," or any similar term, when <br />used with respect to the Bonds, means the registered owner of any Bonds. <br />vao7toiuu,i <br />
