Certificates of Amendment. <br /> The General Partner shall timely prepare, sign, <br /> acknowledge and file in the office of the California Secretary <br /> of State any certificate of amendment the Act requires. If the <br /> General Partner fails to sign or file any certificate of <br /> amendment the Act requires within five business days after a <br /> Limited Partner has requested in writing that it be filed, a <br /> Limited Partner may prepare, sign, acknowledge and file the <br /> certificate pursuant to Section 15625 of the Act. <br /> 3.2. Certificate of Dissolution and Cancellation. <br /> The General Partner shall timely prepare, sign, <br /> acknowledge and file in the office of the California Secretary <br /> of State any certificates of dissolution and cancellation Section <br /> 15623 of the Act requires, unless the dissolution is caused by an <br /> event described in Section 15681(c) of the Act, in which case the <br /> Limited Partners winding up the affairs of the Partnership under <br /> Section 15683 of the Act shall prepare, sign, acknowledge and <br /> file the certificates. <br /> 3.3.
