to the Partnership or the conduct of its business; (b) to <br /> maintain its existence; (c) to enable the Partnership to hold the <br /> Development in the Partnership's name; or (d) to create <br /> presumptions in favor of bona fide purchasers or encumbrances for <br /> value of Partnership Property pursuant to Section 15621(d) of the <br /> Act. <br /> 3.4. Execution by Attorney -In -Fact. <br /> Any certificate or other instrument which a Partner may <br /> sign, acknowledge and /or verify under this Section 3 may be <br /> signed, acknowledged and /or verified by an officer or general <br /> partner of that Partner or the Partner's duly appointed <br /> attorney -in -fact. <br /> SECTION 4: TERM <br /> 4.1. Effective Date. <br /> This Agreement shall be effective as of the date set forth <br /> above. The term of Partnership commenced on September 8, 1989, <br /> and shall continue until December 31, 2039, unless sooner <br /> terminated pursuant to the provisions of this Agreement. <br /> 4.2. Dissolution. <br /> The Partnership shall dissolve upon the first to occur of <br /> the following dates and events: <br /> (a) December 31, 2039. <br /> (b) A Majority Vote of the Limited Partners and the written <br /> consent of the General Partner. <br /> -12- <br />
